Myanmar Directorate of Investment and Company Administration issues draft model constitution for private companies for public consultation

Pursuant to the Myanmar Companies Law 2017, the Directorate of Investment and Company Administration (“DICA”) has released a draft model constitution for private companies limited by shares for public consultation and feedback (“draft model constitution”). The Notes to the draft model constitution states that it seeks to provide maximum flexibility in the management and administration of companies. A company may include provisions which limit the objectives and powers of the company. The draft model constitution is available on the DICA website www.dica.gov.mm.
