US$70,000,000 Syndicated Term Loan Facility granted by HSBC Bank Malaysia Berhad, Maybank Singapore Limited and Oversea-Chinese Banking Corporation Limited to HARPS Global Pte. Ltd.
Advised HSBC Bank Malaysia Berhad, Maybank Singapore Limited and Oversea-Chinese Banking Corporation Limited (collectively, “Lenders”), as lead counsel, on the syndicated term loan facility of up to US$70,000,000 (“Facility”) granted to HARPS Global Pte. Ltd. (“Borrower”). The Facility was used to part-finance, among other things, the first closing purchase price in respect of the acquisition by the Borrower of the shares in Semperit Investments Asia Pte. Ltd (a Singapore incorporated entity) and Sempermed Europe GmbH (an Austrian incorporated entity) (collectively, “Targets”) from Semperit Technische Produkte GmbH (“Semperit”). The Targets are involved in the medical industry, in particular, the manufacture, distribution and sale of medical examination and surgical gloves. Semperit is a subsidiary of Austrian publicly listed company Semperit AG Holding, headquartered in Vienna.
